Launch Kit Agreement

Version LK-2026-10-09 · between Fracs LLC, an Iowa limited liability company at 204 12th St, Suite 208, Des Moines, Iowa 50309 ("Fracs", "we") and the person placing the order ("you").

We are not lawyers.

Fracs LLC is not a law firm, and nobody at Fracs is acting as your attorney, accountant or tax advisor. We prepare and file documents using the information you give us. We do not give legal, tax or accounting advice, and nothing we say or send you is that advice.

Choosing your business structure, your state of formation, your business name, and what your operating agreement says are your decisions. If you want advice on any of them, speak with a licensed attorney or accountant before you order. No attorney-client relationship is created by this agreement or by anything we do under it.

1. What's included

The Launch Kit includes the items listed for your path on the order page, completed within seven business days of the start date in section 4:

Forming in Iowa: your LLC filed with the Iowa Secretary of State (the state filing fee is included), an EIN application with the IRS, a single-member operating agreement prepared from a standard template, and Fracs as your Iowa registered agent for the first year.
Forming in another state: your LLC filed with that state, the state's filing fee passed through to you at cost, an EIN application, a standard single-member operating agreement, and a registered agent in that state for the first year through our registered agent partner.
Already filed: we skip the filing, EIN and registered agent steps. In their place you get a brand starter (wordmark, colours and a one-page brand sheet) and a compliance calendar for your state.
Every path: a domain registered in your name, business email on that domain, a one-page website with a contact form live on your domain, your Google Business Profile set up and submitted for verification, a launch graphic, an announcement email, and one month of the Fracs Walk plan (8 credits).

Third-party costs beyond the first year (domain renewal, email seats, registered agent renewal, and any state annual report or franchise tax) are yours, and we tell you what they are before they come due.

2. Your responsibilities

Give us accurate, complete information and answer questions within one business day. You're responsible for the accuracy of everything you give us, including names, addresses and ownership.
Confirm that the business name you choose is one you have the right to use. We check it against the state's records only.
Meet your ongoing obligations after launch, including annual reports, taxes, licenses and permits, and any registration in states where you do business.
If your LLC was formed in one state and you do business in another (for example, formed elsewhere and operating in Iowa), that other state may require a separate registration. We can flag it. Whether it applies to you is a question for an attorney or accountant.

3. Price and payment

The Launch Kit is $997. For a formation outside Iowa, that state's filing fee is added at cost.
$499 saves your spot and is charged when you order. The remaining $498, plus any out-of-state filing fee, is charged on launch day.
By ordering, you authorize Fracs to charge the payment method you use at checkout for that remaining amount on launch day. We email you before the charge.
After your included month of Fracs Walk, the plan continues at $299 a month only if you tell us you want it.

4. The seven-day promise

The seven business days start once your payment has cleared and your onboarding form is complete. For a formation outside Iowa, they start on the day that state approves your LLC, because approval times are set by the state.

Live means your website is up on your domain, your email works, and your Google listing has been submitted. Google's own verification can take longer, and we stay on it until it's through. If we miss the seven days, your second month of Fracs Walk is free. That is the full remedy for a missed deadline.

5. Cancelling and refunds

Cancel before we file anything or buy anything in your name and we refund your $499 in full.
Once a state filing is submitted or a domain is bought, those costs can't be returned. We refund the rest of what you've paid, less the work already delivered.

6. Ownership

Your LLC, domain, email, website, accounts and files are yours and are set up in your name. If you stop working with us, all of it stays with you, and we hand over every login.

7. Registered agent

Where we or our partner act as your registered agent, we forward any legal or state notice we receive for you by email within one business day. We may resign as registered agent with 30 days' notice, or immediately if a renewal goes unpaid, and the state will be updated as required.

8. Limits

We do the work with reasonable care and skill. We are not responsible for delays or decisions by government agencies, the IRS, Google or other third parties, or for anything that results from information you gave us. Our total responsibility to you under this agreement is limited to the amount you've paid us for the Launch Kit.

9. Privacy

We use your information only to deliver the Launch Kit and run your account, as described in our privacy policy. Sensitive identifiers needed for an EIN application are collected through a separate secure request, never through an ordinary web form or email.

10. General

This agreement is governed by Iowa law, and any dispute will be handled in Polk County, Iowa. It is the whole agreement for the Launch Kit, alongside our terms of use. If one part can't be enforced, the rest still applies. You accept it by checking the box on the order page, and we keep a record of the version you accepted and when.
